Governance

Friends of Wellers Bay Inc. is a registered charity incorporated under the Corporations Act of Ontario. Charity Registration Number: 0813824-52. Effective date of registration: February 20, 1989.

As a registered charity, FOWB is required to file annual reports with the Canada Revenue Agency and comply with governance standards set out in the Charities Act and the Income Tax Act.

Board Of Directors

FOWB is governed by a volunteer board of directors elected by the membership at the annual general meeting. The board is responsible for:

  • Setting strategic direction and organizational priorities

  • Overseeing finances and ensuring responsible stewardship of resources

  • Ensuring compliance with legal and governance requirements

  • Making decisions on behalf of the organization between member meetings

  • Appointing officers and committee members

  • Representing the organization in external relationships

Member Participation

FOWB is fundamentally a membership-driven organisation. Members have the right to:

  • Vote at the Annual General Meeting

  • Stand for election to the board or committees

  • Propose motions and participate in strategic discussions

  • Receive information about organizational activities and financial performance

  • Access a copy of the bylaws and governance policies

Bylaws & Policies

FOWB operates under bylaws approved by the membership and board. These bylaws govern:

  • Membership categories and rights

  • Board composition and election procedures

  • Officer roles and responsibilities

  • Meeting procedures and voting

  • Committee structure

  • Financial management and reporting

  • Conflict of interest policies

  • Code of conduct for board members and volunteers

Strategic Planning

FOWB develops and maintains a strategic plan to guide its work over a five-year cycle. The plan identifies the organization's mission, vision, core values, and priority goals. The strategic plan is developed through member consultation and approved by the board.
